UHCA Bylaws Review 2020

Overview

The community association bylaws were originally adopted in 1967. Twenty-six years later they were replaced in 1993. Another twenty-six years passed and in 2019 the UHCA board decided it was time to update the bylaws again.

Why change?

 A number of changes will improve the bylaws. Some examples:

  • The bylaws currently provide for two types of membership: a family membership or an honorary membership. The revised bylaws will provide for voting and non-voting memberships.
  • Privacy provisions for the association membership list are not addressed in the current bylaws.
  • Conflict-of-interest is not addressed in the current bylaws.

What is the process to change?

The Board of Directors has spent many hours reviewing, discussing and revising the proposed set of bylaws for the community association.

The process for changing the bylaws is defined by the Societies Act of Alberta. The bylaws may only be changed by a special resolution. A “special resolution” means (i) a resolution passed (A) at a general meeting or special meeting of which not less than 21 days’ notice specifying the intention to  propose the resolution has been duly given, and (B) by the vote of not less than 75% of those members who, if entitled to do so, vote in person or by proxy.

NOTICE OF A SPECIAL RESOLUTION TO BE PRESENTED AT THE NEXT AGM:

It is resolved that the existing University Heights Community Association bylaws are repealed and they are replaced by the proposed bylaws.

Bylaws review and discussion with a member of the Board (and hot chocolate) will be held at the Foothills Mennonite church (2115 Urbana Road)  on the following dates from 7-8pm:

  • Tue, Feb 11 
  • Wed, Feb 12 
  • Thur, Feb 13
  • Fri, Feb 14
  • Mon, Feb 17
  • Tue, Feb 18
  • Wed, Feb 19

The UHCA Seniors’ Dance and Movement finishes at 10:30am on Wednesdays at the Mennonite church. An opportunity to review and discuss the proposed bylaws will be available on Feb 5, Feb 12 and Feb 19 at the church at that time.

The Board of Directors will present the above special resolution for a vote of approval at the next annual general meeting (AGM) of the Association planned for February 27, 2020 at the Foothills Mennonite church (the elementary school was not available). Please make sure your UHCA membership is up-to-date as only current members can vote at the AGM.
